Replacement of assets and tax deferral

SIH ONE — Desk Fiscale · 22 April 2025

When a business sells a business asset that has appreciated over time, a hidden reserve emerges: the difference between the realisation value and the residual book value. In principle this difference is a taxable profit. But if the proceeds are reinvested to replace the asset with another one needed for operations, Swiss law allows the taxation to be deferred. This is the mechanism of asset replacement (Ersatzbeschaffung), a tool designed not to hinder the renewal of productive investments.

The principle: defer, not cancel

Deferral does not make the tax disappear: it postpones it. The hidden reserves released by the sale of the original asset are transferred to the replacement asset, reducing its book value for tax purposes. As a result, future depreciation on the new asset will be lower and, when it is eventually sold, the hidden gain will re-emerge. In practice the tax burden follows the asset along the chain of replacements, until the reserve is definitively realised.

This transfer of the hidden value is the key to understanding the logic: the business gains liquidity and continuity, not a permanent tax saving.

The conditions

For deferral to apply, certain requirements must be met, and they are applied strictly by the tax authorities:

  • Nature of the asset: both the asset sold and the one acquired must belong to the fixed business assets, i.e. serve the business’s activity on a lasting basis (plant, machinery, business real estate).
  • Replacement function: the new asset must perform a similar economic function or at least serve the same business purpose. Simply reinvesting in an asset of a different nature is not always enough to meet the requirement.
  • Reinvestment in Switzerland: the replacement asset must be intended for an activity located in Switzerland.
  • Reasonable timeframe: the reinvestment must take place within an appropriate period. When the acquisition is not simultaneous with the sale, a replacement provision can be set up that freezes the reserve pending the new investment, to be released if the reinvestment does not materialise within the deadline.

The case of real estate

Business real estate deserves particular attention. Deferral on these assets is allowed but often limited: many cantonal practices recognise the postponement only for the part of the reserve linked to the depreciation factors (plant and buildings), while the increase in land value may follow its own rules and be subject to the real estate gains tax at cantonal level. The matter varies significantly from canton to canton, so every real estate transaction must be checked against local legislation before proceeding.

A numerical example

A business sells a machine for CHF 200,000; the residual book value is CHF 50,000. The hidden reserve realised is CHF 150,000. If the business buys a replacement machine for CHF 220,000 and applies the replacement, the CHF 150,000 is not taxed immediately: the new asset is recorded at a reduced tax value (CHF 220,000 minus CHF 150,000 = CHF 70,000). Future depreciation will start from this reduced base. Taxation is deferred until the new asset too is sold without a further replacement.

When it makes sense

Replacement is advantageous when the business genuinely needs to renew its operating assets and wants to preserve liquidity for the investment. It is not, however, a suitable tool for those who are divesting or changing their business model, because it requires a reinvestment with an equivalent function.

The long-term effects must also be considered: lower future depreciation means slightly higher taxable profits in subsequent years. The benefit is therefore mainly one of cash flow and timing, not a structural reduction of the tax burden.

In summary

Asset replacement makes it possible to defer the taxation of hidden reserves by reinvesting in equivalent operating assets intended for activity in Switzerland. The conditions are precise, the reinvestment deadlines must be respected, and the treatment of real estate depends on the canton.

Before realising an appreciated asset, it is worth assessing the opportunity for deferral and documenting it correctly. SIH ONE supports businesses in the tax planning of investments and disposals. Contact the Tax Desk.
