Tokenising real estate: opportunities and limits

SIH ONE — Desk Crypto · 06 April 2025

Tokenising a property means representing on a blockchain shares of an asset or of the company that holds it, so they can be issued, transferred and fractionalised in digital form. The idea is seductive: liquidity for a notoriously illiquid asset, access to investments so far reserved for the few, faster transfers. The substance is more complex, and in Switzerland the law sets precise boundaries that are worth knowing before you start.

What actually gets tokenised

A point often misunderstood: you rarely “put the bricks on the blockchain”. In practice you tokenise a legal instrument that grants rights over the property:

  • Shares of a company (typically an AG) that owns the property.
  • Claim or participation rights in the proceeds of the property.
  • Securities representing a participation in an investment vehicle.

The token thus becomes the digital representation of a right, not of the physical asset. This changes everything: the obligations that are triggered depend on the legal nature of that right.

The Swiss framework

Switzerland has introduced the category of registered ledger securities (Registerwertrechte), which allows certain rights to be validly represented through an electronic register (as a rule on a blockchain) with effects recognised by law. It is a solid basis, but not a universal free pass:

  • The transfer of real-estate ownership remains tied to the land register and the public deed. The token does not replace the register entry: you tokenise the vehicle that holds the property, not the land-register entry.
  • If the token is a financial instrument, the obligations regarding financial services are triggered, including the disclosure documentation to investors.
  • The anti-money-laundering rules apply to the relevant activities: issuance, custody, trading.
  • The purchase of real estate by persons abroad is subject to specific restrictions (the “Lex Koller” regime), which the tokenised form does not circumvent. The structure must be designed with this in mind.

The concrete opportunities

Where tokenisation can add real value:

  • Fractionalisation: lowers the entry threshold and widens the pool of investors.
  • Transfer efficiency: registration and passing of shares that are faster and more traceable.
  • Transparency: a verifiable history of transfers.
  • Automation: distribution of proceeds and formalities manageable through programmed rules.

The limits not to ignore

  • Liquidity promised, not guaranteed: a token is liquid only if there is a market of counterparties willing to buy it. Issuing tokens does not automatically create demand.
  • Structural complexity: it takes a well-built legal vehicle, clear governance and contracts that solidly bind the token to the underlying rights.
  • Costs and compliance: the financial and anti-money-laundering obligations have a cost that must be sustainable relative to the size of the project.
  • Risk of misalignment: if the right on the token and the right on the property are not rigorously anchored, the investor risks holding a token worth less than they believe.

Activities subject to authorisation — custody, trading, management — go through authorised partners. Our contribution is structuring and advisory: the vehicle, the qualification of the token, the coordination of the licensed parties.

In short

  • You tokenise the right or the company that holds the property, not the land-register entry.
  • Swiss law recognises registered ledger securities, but ownership, financial services, AML and restrictions on foreign purchases remain relevant.
  • The real benefits are fractionalisation, efficiency and transparency; liquidity is possible, not automatic.
  • The value of the project depends on the rigorous legal link between the token and the underlying asset.

How we help

We structure the vehicle, qualify the token, map the obligations and coordinate the authorised partners for the regulated phases, so the project rests on solid legal foundations. Structure your tokenisation with us.
